Welcome to EcoAdmin. These Terms of Service ("Terms") govern your access to and use of the EcoAdmin real estate transaction management platform, digital workspace, and related services. By registering for, accessing, or using our services, you agree to be bound by these Terms.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
By creating an account, you represent that you are a licensed real estate professional, brokerage staff member, or authorized transaction participant. You agree to provide accurate professional details, including your Department of State (DOS) license number and brokerage affiliation. Falsifying professional credentials represents a breach of these Terms.
You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account, including actions taken by team members you have granted administrative access to. You must notify EcoAdmin immediately of any unauthorized use of your account.
EcoAdmin is granted to you for the purpose of managing real estate transactions, organizing documents, generating forms, and collaborating with clients and teams. You agree to use the platform in compliance with all applicable real estate laws, regulations, and fair housing standards.
You agree not to:
EcoAdmin operates on an agent-centric model. While you retain the right to access your historical transaction data and CRM contacts if you switch brokerages, you acknowledge that:
1. Certain documents required for legal compliance by your previous brokerage may remain under their control.
2. Any "Master Forms" or proprietary brokerage templates remain the intellectual property of that brokerage.
3. You are solely responsible for exporting your data prior to closing an account, subject to brokerage permissions.
The EcoAdmin platform, including its source code, design, features, and smart form technology, is the exclusive property of EcoAdmin. You are granted a limited, non-exclusive, non-transferable license to use the service. You may not copy, modify, or create derivative works based on our software.
Services are offered on a subscription or per-transaction basis. You agree to pay all fees associated with your plan. Failure to pay may result in suspension of access to the platform. Commission splits and financial reporting features are for your record-keeping; EcoAdmin does not process actual commission payments between brokerages and agents.
EcoAdmin provides document management and automation tools. We are not a law firm and do not provide legal advice. The templates, Memos of Sale, and closing documents generated via our platform should be reviewed by qualified legal counsel. You are responsible for ensuring your forms comply with local and state laws.
While we strive for 99.9% uptime, we do not guarantee that the service will be uninterrupted or error-free. We are not liable for any loss of business or opportunities arising from service downtime or technical issues.
To the maximum extent permitted by law, EcoAdmin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from your use of the service.
Our platform integrates with third-party services (e.g., MLS feeds, DocuSign, Google Calendar). Your use of these features is subject to the terms and conditions of those respective third parties. EcoAdmin is not responsible for the accuracy of data imported from MLS systems or the enforceability of e-signatures processed by third-party providers.
We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms, creates liability for us, or is harmful to other users or third parties.
We may modify these Terms at any time. If we make material changes, we will notify you through the platform or via email. Your continued use of EcoAdmin after such changes constitutes your acceptance of the new Terms.
